Terms of Use

These Terms of Use (“Terms”) form a binding agreement between you and GROW&PEACE K.K. (“Stockless”, “we”, “us”). By creating an account or using the Stockless app or website (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

When you first use the Service, we present these Terms and our Privacy Policy and ask you to indicate your agreement (for example, by tapping “Agree”). These Terms constitute standardized terms (teikei-yakkan) under the Japanese Civil Code and form part of our contract with you. You must be at least the age of majority in your jurisdiction to enter into these Terms; if you are a minor, you may use the Service only with the consent of a person with parental authority.

Stockless turns posts from X (Twitter) into a ready-to-use AI prompt and a suggested next action. Posts reach Stockless in two ways: you share a post with Stockless, or, with Bookmark Sync turned on, we import the posts you bookmark on X. We retrieve and process each post’s content and return an Action and a Prompt you can run in third-party AI tools such as ChatGPT, Claude, or Gemini. Bookmark Sync is on by default and you can turn it off at any time in Settings. The Service is intended for personal, lawful use only.

You sign in with your X account via OAuth using read-only permissions, including read access to your bookmarks for Bookmark Sync. We never post to X on your behalf. You are responsible for activity under your account and for keeping your credentials secure. Your use must comply with X’s terms and applicable law.

Stockless offers auto-renewable monthly subscriptions (Standard and Pro) and a free plan with a limited monthly quota. Paid plans may include a free introductory trial. Payment is charged to your Apple ID at confirmation of purchase. Subscriptions renew automatically unless auto-renew is turned off at least 24 hours before the end of the current period. You manage, upgrade, downgrade, or cancel your subscription in your device’s App Store settings. Any unused portion of a free trial is forfeited when you purchase a subscription. Prices are shown in the app in your local currency and may change with notice as permitted by the App Store.

Before you subscribe, the price of each renewal period, the total amount payable, the timing of renewal, and the method of cancellation are shown in the app. For sales to consumers in Japan, our statutory disclosures under the Act on Specified Commercial Transactions are set out in the “Notation based on the Act on Specified Commercial Transactions”, available in the app and on our website.

You agree not to misuse the Service, including: violating any law or third-party rights; submitting content you have no right to process; attempting to disrupt, reverse-engineer, or gain unauthorized access to the Service; or using the Service to generate unlawful, harmful, or infringing output.

The Service relies on third parties, including X (as the source of posts), xAI’s Grok (for processing and generation), and the AI tools you choose to run prompts in. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability of, or the acts or omissions of, third-party services, except to the extent such responsibility cannot be excluded under applicable law.

You retain your rights in the posts you share or that we import from your bookmarks. You grant us a limited license to process that content solely to provide the Service, as further described in our Privacy Policy. Generated Actions and Prompts are provided for your use; you are responsible for reviewing outputs before relying on or acting on them. AI output may be inaccurate.

Our Privacy Policy explains how we collect, use, share, and protect personal data and user content (including information obtained from X, the posts you share or bookmark, and the transfer of that content to xAI (Grok) and other processing infrastructure). The Privacy Policy is available in the app and on our website and forms part of these Terms.

The Service is provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate or fit for any particular purpose.

Nothing in this section excludes or limits any warranty, right, or remedy that cannot be excluded or limited under mandatory consumer-protection law.

To the maximum extent permitted by law, GROW&PEACE K.K. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill arising from your use of the Service.

The exclusions and limitations in these Terms do not apply where we have acted with intent or gross negligence. Where we are liable, our total aggregate liability is limited to the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the liability. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability arising from our intent or gross negligence.

You may stop using the Service and delete your account at any time from within the app. We may suspend or terminate access if you breach these Terms or where required by law. Sections that by their nature should survive termination will survive. Deletion of your account and handling of your data on termination are described in our Privacy Policy.

We may update these Terms from time to time.

For changes that are disadvantageous to you, we will notify you of the amended Terms and the date they take effect by an appropriate method (such as in-app notice) a reasonable period (at least 14 days) before that date, in accordance with the rules on amendment of standardized terms under the Japanese Civil Code. The amended Terms take effect on the stated effective date, and your continued use after that date constitutes acceptance.

These Terms are between you and us; Apple is not a party to them. We, not Apple, are responsible for the Service and its content. Apple has no obligation to provide maintenance or support for the app, no warranty obligation, and no responsibility for product-liability claims, claims that the app fails to conform to legal or regulatory requirements, or third-party intellectual-property claims relating to the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce these Terms against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list.

These Terms are governed by the laws of Japan, without regard to conflict-of-laws rules. The Tokyo District Court will have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law provides otherwise.
